Terms of Service

Welcome to CountMeIn. These Terms of Service ("Terms") govern your use of the CountMeIn website, mobile experience, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Who can use CountMeIn

You must be at least 13 years old (or the minimum age required in your country) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your account

You're responsible for keeping your login credentials secure and for everything that happens under your account. Tell us right away at info@countmein.ai if you suspect unauthorized access.

3. Groups, events, and content

CountMeIn lets you create invite-only groups and coordinate events, RSVPs, guests, polls, sign-up items, and messages. You keep ownership of the content you post, but you grant CountMeIn a worldwide, non-exclusive license to host, store, display, and distribute that content solely to operate the Service for you and your group members.

You agree not to use the Service to:

• Harass, threaten, defame, or impersonate anyone;
• Post unlawful, hateful, sexually exploitative, or infringing content;
• Send spam, run scams, or upload malware;
• Attempt to bypass our access controls or scrape data.

We may remove content and suspend or terminate accounts that violate these Terms, at our discretion.

4. Paid plans and subscriptions

Some features require a paid subscription. Fees are billed through our payments processor. Subscriptions renew automatically until you cancel. Unless required by law, fees are non-refundable. We may change pricing on notice.

5. Intellectual property and anti-copying

The CountMeIn application — including its source code, design, user interface, branding, name, logos, and content we author — is owned by CountMeIn and is protected by copyright, trademark, trade dress, and other intellectual property laws. Your right to use the Service is a limited, revocable, non-exclusive, non-transferable license, granted only while you comply with these Terms.

You may not: copy, clone, mirror, republish, or create a substantially similar app or service based on CountMeIn; reverse engineer, decompile, or disassemble any part of the Service; scrape, crawl, or bulk-extract data; frame or wrap the Service; use our source, screenshots, or design to train an AI model that competes with CountMeIn; or remove, obscure, or alter any proprietary notices.

Copying this application, in whole or in part, may result in legal action against you — including claims for copyright infringement, trademark infringement, breach of contract, and unfair competition, and remedies including injunctive relief, monetary damages, statutory damages, and attorneys' fees to the extent permitted by law.

6. Third-party services

The Service uses third-party providers for hosting, authentication, payments, and similar functions. Your use of those providers is governed by their own terms; we're not responsible for their acts or omissions.

7. Termination

You can stop using the Service and delete your account any time. We can suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections that by their nature should survive (IP, disclaimers, liability, disputes) survive termination.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the fullest extent permitted by law, CountMeIn and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100.

10. Indemnification

You agree to defend and indemnify CountMeIn against claims arising from your content, your use of the Service, or your violation of these Terms.

11. Changes to these Terms

We may update these Terms. If changes are material, we'll notify you (for example, in the app or by email). Continued use after changes take effect means you accept the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
